General terms & conditions

Article 1 – Definitions

In these terms and conditions, the following definitions apply:
1.1 Entrepreneur: Traagoods.com, based in the Netherlands, operating as a wholesaler in non-food products, import, and export.
1.2 Customer: any natural or legal person who enters into or intends to enter into an agreement with the entrepreneur.
1.3 Agreement: any agreement between the entrepreneur and the customer regarding the sale and delivery of goods.
1.4 Products: all non-food goods offered by the entrepreneur.
1.5 Written Communication: communication via letter, email, or digital messaging.

Article 2 – Applicability

2.1 These terms and conditions apply to all offers, quotations, agreements, and deliveries of the entrepreneur.
2.2 Deviations from these conditions are only valid if agreed upon in writing.
2.3 The applicability of any purchasing or other terms and conditions of the customer is expressly excluded.

Article 3 – Quotations and Agreements

3.1 All quotations and offers from the entrepreneur are without obligation unless explicitly agreed otherwise in writing.
3.2 An agreement is concluded once the entrepreneur has provided written confirmation or has started execution.
3.3 Changes to an agreement are only valid if agreed upon in writing.

Article 4 – Prices and Payment

4.1 All prices are exclusive of VAT and other government-imposed levies unless otherwise stated.
4.2 Payment must be made within the period stated on the invoice unless otherwise agreed in writing.
4.3 In case of late payment, the customer is legally in default and owes an interest of 1% per month.
4.4 All collection costs, both judicial and extrajudicial, are borne by the customer.

Article 5 – Delivery and Risk

5.1 Delivery takes place according to the agreed delivery terms (e.g., EXW, FOB, CIF) as per Incoterms.
5.2 The specified delivery times are indicative and not strict deadlines.
5.3 The risk of the products transfers to the customer at the moment of delivery.

Article 6 – Retention of Title

6.1 All delivered products remain the property of the entrepreneur until the customer has fully met their payment obligations.
6.2 The customer is not entitled to pledge or encumber the delivered products under retention of title in any way.

Article 7 – Complaints and Warranty

7.1 The customer must inspect the products upon delivery and report visible defects in writing within 5 working days.
7.2 If a complaint is justified, the entrepreneur will, at their discretion, replace the products or provide compensation.
7.3 Warranty on products is only provided if explicitly agreed in writing.

Article 8 – Liability

8.1 The entrepreneur is only liable for direct damage demonstrably caused by their actions or omissions, up to a maximum of the invoice amount of the relevant delivery.
8.2 The entrepreneur is not liable for consequential damages, business damages, or other indirect damages.
8.3 Liability expires if the customer does not submit a written complaint within 30 days after discovering the damage.

Article 9 – Force Majeure

9.1 The entrepreneur is not obliged to fulfill any obligation if hindered by force majeure, such as war, natural disasters, government measures, or other circumstances beyond their control.
9.2 If the force majeure situation lasts longer than 60 days, both parties have the right to terminate the agreement in writing.

Article 10 – Termination of the Agreement

10.1 The entrepreneur has the right to terminate the agreement with immediate effect if the customer fails to meet their obligations.
10.2 Upon termination, existing payment obligations remain in force.

Article 11 – Applicable Law and Disputes

11.1 All agreements and disputes are governed by Dutch law.
11.2 Disputes will be submitted to the competent court in the Netherlands.

Article 12 – Final Provisions

12.1 If any provision of these terms and conditions is null or voidable, the remaining provisions will remain in full force.
12.2 The entrepreneur has the right to amend these terms and conditions. The amended terms and conditions will apply to new agreements and to existing agreements if the customer agrees.
